Frogs in Mugs Verein is a Swiss-based non-profit dedicated to establishing play and empathy as fundamental resources for family life and child development.
To serve our bilingual community, we provide our statutes in both German and English below. Please note that the German original remains the legally binding reference in case of any discrepancy between the two.

I. Name, Sitz und Zweck
Art. 1: Name und Sitz
Unter dem Namen "Frogs in Mugs" besteht ein Verein im Sinne von Art. 60 ff. ZGB mit Sitz in Adliswil.
Art 2: Zweck und Leitbild
Der Verein „Frogs in Mugs“ ist eine gemeinnützige Organisation, die sich dafür einsetzt, Spiel und Empathie als fundamentale Ressourcen des Familienlebens und der menschlichen Entwicklung zu etablieren. Unser Ziel ist es, das Wohlbefinden von Kindern und Eltern zu fördern, indem wir spielbasierte Ansätze in den Alltag sowie in herausfordernde Lebenssituationen integrieren.
Unsere Arbeit stützt sich auf zwei Säulen:

Menschenrechte: In Anlehnung an die UN-Kinderrechtskonvention, insbesondere Artikel 31 (Recht auf Spiel) und Artikel 18 (Unterstützung der Eltern), setzen wir uns für das Recht jedes Kindes auf eine gesunde Entwicklung und die aktive Rolle der Eltern bei der Gestaltung eines spielerischen, sicheren und entwicklungsfördernden Umfelds ein.

Wissenschaftliche Erkenntnisse: Wir stützen uns auf interdisziplinäre Forschungsergebnisse (u.a. aus Neurobiologie, Entwicklungspsychologie und Pädagogik), die belegen, dass Spiel eine biologische Notwendigkeit für die Emotionsregulation, die Resilienz und die sichere Bindung über die gesamte Lebensspanne ist.
Um dies zu erreichen, konzentriert sich der Verein auf:

Wissenstransfer & Methodik: Übersetzung komplexer Forschung in einfache, wirkungsvolle Werkzeuge für Eltern, Bezugspersonen sowie Fachpersonen aus Bildung, Gesundheit und Sozialwesen.

Kreative & Interdisziplinäre Angebote: Entwicklung digitaler und analoger Ressourcen – wie die Plattform „Frogs in Mugs“ und praxisnahe Workshops –, die Familien und Fachwelt dabei unterstützen, durch spielerische Interaktion Bindungen zu stärken und kritische Lebensmomente zu bewältigen.

Sensibilisierung & Systemische Arbeit: Förderung des Bewusstseins für den systemischen Wert von Spiel als Werkzeug für die psychische, physische und soziale Gesundheit in der Gesellschaft.
II. Mitgliedschaft
Art. 3: Erwerb der Mitgliedschaft
Der Verein besteht aus Aktivmitgliedern mit Stimmrecht und Fördermitgliedern ohne Stimmrecht. Mitglied kann jede natürliche oder juristische Person werden, die ein Interesse am Vereinszweck hat. Über die Aufnahme sowie den Status der Mitglieder entscheidet der Vorstand abschliessend. Ein Anspruch auf Aufnahme besteht nicht.
Art. 4: Wissenschaftlicher Beirat und Ehrenmitglieder
Der Vorstand kann zudem Ehrenmitglieder oder einen Wissenschaftlichen Beirat (Scientific Advisory Board) ernennen. Diese Personen unterstützen den Verein ideell oder fachlich, sind von der Beitragspflicht befreit und haben kein Stimmrecht.
Art. 5: Erlöschen
Die Mitgliedschaft erlischt durch Austritt, Ausschluss oder Tod. Ein Austritt ist jederzeit per Ende des Kalenderjahres möglich.
Art. 6: Beiträge
Der Verein erhebt einen jährlichen Mitgliederbeitrag. Die Höhe wird von der Vereinsversammlung festgelegt. Die Ausgestaltung der spezifischen Leistungen und Vergünstigungen für Mitglieder sowie die Details zur Verrechnung von Kursgebühren werden vom Vorstand in einem separaten Beitrags- und Leistungsreglement festgelegt und periodisch angepasst.

Art. 8: Die Vereinsversammlung
Das oberste Organ des Vereins ist die Vereinsversammlung. Sie findet jährlich einmal statt.
Art. 9: Der Vorstand
Der Vorstand besteht aus mindestens zwei Personen. Die Gründungsmitglieder haben das Recht, im Vorstand Einsitz zu nehmen. Der Vorstand konstituiert sich selbst und wählt aus seiner Mitte das Präsidium sowie die weiteren Funktionen. Er entscheidet über die strategische Ausrichtung sowie alle operativen Geschäfte und führt die rechtsverbindliche Kollektivunterschrift zu zweien. Beschlüsse des Vorstands werden im Konsens gefasst.
Zur fachlichen Unterstützung kann der Vorstand einen Beirat oder Fachgruppen einsetzen und die Einzelheiten der Zusammenarbeit in entsprechenden Reglementen festlegen.
IV. Finanzen und Haftung
Art. 10: Finanzen
Die Einnahmen des Vereins bestehen insbesondere aus:
● Mitgliederbeiträgen
● Erträgen aus eigenen Veranstaltungen, Dienstleistungen und dem Verkauf von Vereinsartikeln
● Spenden, Sponsorenbeiträgen und Zuwendungen aller Art
● Allfälligen Subventionen, Leistungsvereinbarungen und Zinserträgen
Der Verein ist berechtigt, für spezifische Fachleistungen (z.B. Kursleitung, wissenschaftliche Beratung, technische Entwicklung) angemessene Entschädigungen an Mitglieder des Vorstands oder Dritte zu leisten.
Art. 11: Revisionsstelle
Die Vereinsversammlung kann jährlich zwei Revisionspersonen oder eine juristische Person als Revisionsstelle wählen, welche die Buchführung kontrollieren. Der Verein kann auf die Wahl einer Revisionsstelle verzichten, sofern die gesetzlichen Voraussetzungen für eine ordentliche Revision nicht erfüllt sind.
Art. 12: Haftung
Für die Schulden des Vereins haftet ausschliesslich das Vereinsvermögen. Eine persönliche Haftung der Mitglieder oder des Vorstands ist ausgeschlossen.
V. Auflösung
Art. 13: Auflösung
Bei einer Auflösung des Vereins fällt das restliche Vermögen an eine steuerbefreite Organisation mit ähnlichem Zweck in der Schweiz. Eine Verteilung unter den Mitgliedern ist ausgeschlossen.

Art. 2: Purpose and Mission Statement
The association "Frogs in Mugs" is a non-profit organization dedicated to establishing play and empathy as fundamental resources for family life and human development. Our goal is to promote the well-being of children and parents by integrating play-based approaches into everyday life as well as challenging life situations.
Our work is based on two pillars:

Human Rights: Based on the UN Convention on the Rights of the Child, in particular Article 31 (Right to Play) and Article 18 (Support for Parents), we advocate for every child's right to healthy development and the active role of parents in creating a playful, safe, and developmentally supportive environment.

Scientific Findings: We rely on interdisciplinary research results (including neurobiology, developmental psychology, and pedagogy), which prove that play is a biological necessity for emotional regulation, resilience, and secure attachment throughout the entire lifespan.
To achieve this, the association focuses on:

Knowledge Transfer & Methodology: Translating complex research into simple, effective tools for parents, caregivers, and professionals in education, health, and social services.

Creative & Interdisciplinary Offerings: Development of digital and analog resources – such as the "Frogs in Mugs" platform and practical workshops – that support families and professionals in strengthening bonds and mastering critical life moments through playful interaction.

Awareness & Systemic Work: Promoting awareness of the systemic value of play as a tool for psychological, physical, and social health in society.
II. Membership
Art. 3: Acquisition of Membership
The association consists of Active Members with voting rights and Supporting Members without voting rights. Any natural or legal person interested in the purpose of the association can become a member. The Board makes the final decision on admission and membership status. There is no entitlement to admission.
Art. 4: Scientific Advisory Board and Honorary Members
The Board may also appoint Honorary Members or a Scientific Advisory Board. These individuals support the association ideally or professionally, are exempt from the duty to pay membership fees, and have no voting rights.
Art. 5: Termination
Membership expires through resignation, expulsion, or death. Resignation is possible at any time at the end of the calendar year.
Art. 6: Membership Fees
The association charges an annual membership fee. The amount is determined by the General Assembly. The specific services and benefits for members, as well as the details for billing course fees, are determined by the Board in a separate Fee and Benefit Regulation and are adjusted periodically.

Art. 8: The General Assembly
The supreme organ of the association is the General Assembly. It takes place once a year.
Art. 9: The Board
The Board consists of at least two persons. The founding members have the right to hold a seat on the Board. The Board constitutes itself and elects the Presidency and other functions from among its members. It decides on the strategic direction as well as all operational business and holds the legally binding collective signature of two. Decisions of the Board are made by consensus. For professional support, the Board may appoint an advisory board or specialist groups and define the details of cooperation in corresponding regulations.
IV. Finances and Liability
Art. 10: Finances
The income of the association consists in particular of:

Membership fees

Income from its own events, services, and the sale of association items ● Donations, sponsorship contributions, and grants of all kinds

Any subsidies, performance agreements, and interest income The association is entitled to provide reasonable compensation to members of the Board or third parties for specific professional services (e.g., course management, scientific advice, technical development).
Art. 11: Audit Office
The General Assembly may annually elect two auditors or a legal entity as an audit office to monitor the bookkeeping. The association may waive the election of an audit office if the legal requirements for a regular audit are not met.
Art. 12: Liability
Only the association's assets are liable for the association's debts. Personal liability of the members or the Board is excluded.
V. Dissolution
Art. 13: Dissolution
In the event of the dissolution of the association, the remaining assets shall be transferred to a tax-exempt organization with a similar purpose in Switzerland. Distribution among the members is excluded.
